Bionor Pharma, which was originally a pharmaceutical company, has entered into an agreement to purchase the entire property company Solon Property for around one billion, announced the company on Monday. The purchase will be financed by the issuance of close to nok 6.7 billion shares in Bionor Pharma to 0.15 euros per share be transferred to shareholders in Solon.
Solon Property is owned today primarily by investors Tore Aksel Voldberg and Simen Thorsen.
Solon real Estate owners are:
the Investor Tore Aksel Voldberg 43 per cent
Simen Thorsen 40 per cent
Investor Edvin Austbø 15 per cent.

Solon-the shareholders will when all the parts of the transaction is completed, sit with around 58% stake in Bionor, and has committed to sit on the shares for 12 months.

Bionors legemiddelvirksomhet was put on hold in the third quarter. In connection with the agreement entered into with the Solon-the shareholders, it is proposed that Bionor Pharma will be renamed to the Solon Property asa.
Solon real Estate was founded by Simen Thorsen and Tore Aksel Voldberg in 2006. Thorsen will now be proposed as new chairman of the board of the publicly listed company, with Einar J. Greve as vice chairman. Tore Aksel Voldberg, as well as Bente Bøhler and Katarina Finneng will be proposed as board member.
Andreas Martinussen, who is the managing director of today’s Solon, is being proposed as the new chief executive officer of the listed company. Tarjei Røise Warholm will be recommended to the employee as chief financial officer.

The largest shareholders in Bionor, including the founder, Lars Tall, investor Øystein Stray Spetalens Ferncliff Listed Dai, have committed themselves to sit on their shares at the annual general meeting is held – as well as to vote for the transaction at the general meeting.

Chairman of the board Einar J. Greve in Bionor has through the company Cipriano as acted as advisor in connection with the acquisition and the rights issue and will receive a payment of three million dollars if the purchase is carried out, stated it in message Monday.
